Pipe USA Inc. (“Pipe”, “we”, “us”, “our”)
Last updated: December 26, 2025 · Version: 2025-12-26
By accessing or using the Pipe Customer APIs, the Pipe dashboard, related websites, and any related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.
1. Eligibility and authority
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. The Service
Pipe provides API access, dashboards, and related tooling. The Service may change over time. We may add, remove, modify, or discontinue any part of the Service at any time.
3. Accounts, credentials, and security
You are responsible for all activity under your account, API keys, credentials, wallets, and access tokens. You must keep them confidential and secure. You must promptly notify us of any suspected compromise. You are solely responsible for your security practices, including key management, wallet security, and access control.
4. Fees, payments, and no refunds
Some features require payment. You agree to pay all applicable fees and taxes. ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. This includes subscriptions, prepaid credits, usage-based charges, and any other fees.
No refunds. We do not provide refunds, credits, or prorations for any reason, including but not limited to unused time, unused credits, downtime, service errors, feature changes, account termination, or your dissatisfaction with the Service.
Chargebacks. Any chargeback or payment reversal is a material breach of these Terms. We may suspend or terminate your account immediately and pursue collection and reimbursement of associated costs.
5. No SLA; availability; maintenance
The Service is provided on an “as is” and “as available” basis. No SLA. We do not guarantee any uptime, availability, latency, throughput, or error rate, and we are not responsible for any outage or interruption. Maintenance, changes, and outages may occur at any time without notice.
6. Acceptable use and conduct
This app is provided free of charge and “as is,” with no warranties or guarantees of any kind.
You agree not to (and not to allow any third party to) do any of the following:
- Use the Service in violation of any law or regulation.
- Abuse, overload, or interfere with the Service, including via scraping, automated attacks, or excessive requests.
- Attempt to bypass rate limits, security controls, access controls, or authentication.
- Reverse engineer, decompile, or attempt to discover source code or underlying models except where prohibited by law.
- Use the Service to transmit malware, exploit code, or content that infringes third-party rights.
- Use the Service for sanctions-evading, money laundering, or prohibited transactions.
- Harass, threaten, or abuse the developer.
- Submit complaints in bad faith.
- Attempt to exploit, disrupt, or interfere with the app.
- Misuse the app in any unlawful or harmful way.
If you do not like the app, you are free to stop using it.
We reserve the right to suspend or terminate access at any time, for any reason, including abusive or disruptive behavior.
7. Third-party services, networks, and blockchain risks
The Service may depend on third-party services and networks (including wallets, RPC providers, cloud providers, and blockchain networks). We do not control and are not responsible for third-party services or network conditions, including forks, reorgs, congestion, outages, downtime, or changes to protocols, fees, or consensus.
8. Intellectual property; feedback
We and our licensors own all rights, title, and interest in and to the Service and all related intellectual property. If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without restriction and without compensation.
9. Suspension and termination
We may suspend or terminate your access at any time, with or without notice, for any reason (including risk, abuse, compliance, security, or business reasons). Upon termination, your right to use the Service stops immediately. Sections intended to survive (including fees, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.
10. Disclaimers of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
11. Limitation of liability (maximum)
No liability. To the fullest extent permitted by law, Pipe USA Inc. and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for any damages, losses, or costs of any kind arising out of or relating to the Service or these Terms, under any theory of liability (including contract, tort, negligence, strict liability, or otherwise), even if advised of the possibility of such damages.
This includes (without limitation) direct, indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages; lost profits or revenues; loss of goodwill; loss of data; business interruption; security incidents; third-party service failures; blockchain/network events; and procurement of substitute services.
Some jurisdictions do not allow certain limitations. In that case, the above applies to the maximum extent permitted by law. This section is an essential basis of the bargain.
12. Indemnification
You will defend, indemnify, and hold harmless Pipe USA Inc. and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your content, systems, applications, or integrations; or (d) your violation of any law or third-party rights.
13. Dispute resolution; arbitration; class action waiver; Delaware law
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Binding arbitration. Except for disputes eligible for small claims court or requests for injunctive relief related to intellectual property, abuse, or unauthorized access, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Delaware.
No class actions. You and Pipe agree that disputes will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You waive any right to a jury trial.
14. Changes to these Terms
We may update these Terms at any time. The updated Terms are effective when posted (or as otherwise stated). Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
